Submission of payment constitutes your full acceptance of these Terms & Conditions and forms a binding agreement between you and BGCC, LLC/DBA Rethink Effort.
Indemnification & Release
You agree to release, indemnify, defend, and hold harmless BGCC LLC including its affiliates and subcontractors (collectively, the "Consultant") from any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with: your use or implementation of any advice, deliverables, recommendations, or strategies provided by the Consultant; any breach by you of these Terms and Conditions; or any negligent or willful act or omission by you or your representatives.
No Guarantee of Results
Consultant does not guarantee success and is not responsible for actions taken by Client as a result of coaching or consulting.
Limitation of Liability
Consultant shall not be liable for any indirect, incidental, consequential, or special damages, including lost profits or business interruption, even if advised of the possibility of such damages. Consultant's total liability under this agreement shall not exceed the amount paid by you for the services giving rise to the claim.
Scheduling & No-Show Policy
If Client needs to re-schedule calls, Consultant will make reasonable effort to accommodate, but accommodation is not guaranteed. If Client does not show, Consultant is under no obligation to reschedule the call.
Account Access Authorization
Client hereby grants Consultant express permission to access, log into, and make changes within the Client's accounts and related systems as reasonably necessary to perform the consulting services agreed upon. The Client acknowledges and agrees that: all changes made within any programs or systems are subject to Client review and approval; Consultant shall not be liable for any data loss, service interruptions, unintended outcomes, or other damages resulting from such access or changes, except in the case of gross negligence or willful misconduct; and Client remains solely responsible for maintaining proper data backups, system security, and for reviewing all changes made within the platform.
Confidentiality of Rates
Client agrees not to disclose the coaching rates with any third party.
Governing Law & Disputes
These Terms & Conditions shall be governed in accordance with the laws of the State of Rhode Island, without regard to its conflict of laws principles. Any disputes arising hereunder shall be resolved exclusively in the state courts located within Rhode Island.
